Companies House Identity Verification: Everything UK Businesses Need to Know (2025 Guide)

Introduction

Companies House identity verification is one of the most important changes to UK company law in decades. Introduced under the Economic Crime and Corporate Transparency Act 2023 (ECCTA), the new verification rules are designed to prevent fraud, increase transparency and strengthen trust in the UK corporate register.

From 18 November 2025, identity verification becomes a legal requirement for anyone who registers, manages or controls a UK company. Businesses must prepare early to avoid disruption, penalties or delays in company filings.

What is Companies House identity verification?

Identity verification is a new process that confirms an individual is who they claim to be. It applies to:

  • Company directors

  • Directors of overseas companies registered in the UK

  • PSCs (People with Significant Control)

  • LLP members and general partners

  • Company secretaries

  • Anyone who files at Companies House on behalf of a company

  • Authorised Corporate Service Providers (ACSPs)

Verification can be completed directly with Companies House or through an ACSP like RapIDfy.

Why is identity verification being introduced?

The goal is to prevent criminals from hiding behind fake identities and misusing companies for unlawful activities. Verification will:

  • Reduce fraud and false appointments

  • Improve accuracy on the Companies House register

  • Increase transparency in company ownership

  • Strengthen the UK’s position as a trusted place to do business

How does the process work?

Individuals will provide:

  • A primary ID document (passport or driving licence)

  • A real-time photograph (selfie)

Likeness-matching technology will verify the identity within minutes. Most people will only need to verify once.

What happens if you don’t verify?

Failure to verify may result in:

  • Criminal prosecution

  • Court-issued fines

  • Financial penalties from Companies House

  • Public notes on the Companies House register

  • Inability to act as a director or register new companies
