A Legal Obligation for UK Companies

Under the Economic Crime and Corporate Transparency Act 2023, everyone with control or influence over a UK-registered company must have their identity verified.

This includes company officers, persons with significant control, and agents handling registrations.

Roles That Require Verification

  • Company Directors

Every director — new or existing — must verify before appointment or within a set deadline.

  • Persons with Significant Control (PSCs)

Individuals or entities owning 25%+ shares or voting rights must verify.

  • Company Secretaries

Responsible for filings and compliance — verification is required to act officially.

  • Authorised Corporate Service Providers (ACSPs)

Agents who verify on behalf of clients must also complete their own verification.

  • Overseas Individuals

Non-UK residents acting as directors or PSCs must verify online or via an ACSP.

Do You Fall Into One of These Categories?

Are There Any Exceptions?

Certain public authorities or government officers acting under statutory powers may be exempt from verification.

However, all private individuals and company officers must complete the process — there are no exceptions for role size or ownership percentage below PSC thresholds.

How to Complete Your Verification

You can verify your identity in one of two ways:

  • Directly with Companies House using your passport or UK driving licence.
  • Through an Authorised Corporate Service Provider (ACSP) — who will handle the process on your behalf.

When You Need to Verify

Existing company officers will be contacted by Companies House with verification deadlines.

New appointments must verify before their details can be officially added to the register.

Will my appointment still be valid?

No — unverified directors cannot legally act on behalf of a company.

Can my company still file updates?

No — filings by unverified individuals will be rejected.

Are there penalties?

Yes, failure to verify may lead to removal from the register or legal sanctions.

Make Sure You’re Verified

Don’t risk non-compliance. Check your status or complete verification now to stay legally active and trusted within the UK business network.
